Applies To: All software licenses, SaaS subscriptions, AI or software services, AI products, APIs, and other platform-based or bespoke solutions / offerings provided by MYRIADAI.
1. Purpose
This Shipping & Exchange Policy outlines the official terms under which digital delivery of MYRIADAI products is made, and under what limited circumstances an exchange or modification may be considered. This policy ensures operational transparency and prevents misuse of software licenses and AI service capabilities.
2. Definitions
- "Product" refers to any SaaS, AI software, model, product(s) or service(s) developed or licensed by MYRIADAI.
- "Client" refers to any individual or entity purchasing or subscribing to MYRIADAI services.
- "Exchange" refers strictly to replacement, modification, or substitution of a product or service component as defined herein.
3. Digital Shipping Policy
3.1 Method of Delivery
All MYRIADAI products are delivered digitally. No physical shipment is involved. Delivery methods include but not limited to:
- Web-based platform access (via login credentials)
- API key issuance
- Email with secure download links
- Integration with client cloud infrastructure (Azure, AWS, GCP)
3.2 Fulfillment Timeline
- SaaS access: Activated within 48-72 business hours post-payment verification or contract execution.
- Custom deployments (AI agents, software, SaaS, integrations, others): Timelines are as per the Statement of Work (SoW) or Master Service Agreement (MSA) agreed with Client.
4. Exchange Policy
4.1 No Exchange for Delivered Standard Products
- Once a SaaS product, AI module, or software license is delivered and accessed, no exchange, refund, or replacement will be entertained unless explicitly agreed upon in writing.
- This policy is aligned with industry standards to prevent abuse of digital licenses and API bandwidth.
4.2 Exchange for Custom Deliverables (Limited Scope)
Exchange is generally not permitted unless other exceptional circumstances which may be defined only under these strict conditions:
- Product/Service materially deviates from the specifications agreed upon in the signed contract/SoW
- Request is raised in writing within 3 business days of initial delivery
- Evidence is provided by the client to substantiate the deviation or technical defect.
If all the above are satisfied, MYRIADAI may, at its sole discretion:
- Correct and redeploy the deliverable, or
- Offer a one-time exchange for an equivalent service tier, with both parties agreeing on revised commercial terms.
3.2 Fulfillment Timeline
- SaaS access: Activated within 48-72 business hours post-payment verification or contract execution.
- Custom deployments (AI agents, software, SaaS, integrations, others): Timelines are as per the Statement of Work (SoW) or Master Service Agreement (MSA) agreed with Client.
5. Modifications & Feature Adjustments
- Requests for changes to delivered products do not qualify as exchanges. These are treated as Change Requests (CRs) and are subject to additional pricing and timelines.
- Any enhancements, new feature development, or workflow customizations fall outside the scope of this policy.
6. Non-Eligibility for Exchange
Clients are ineligible for exchange if:
- They have misused, modified, or reverse-engineered the product
- They request modifications due to internal requirement changes, not product defects
- The product was used in contravention of MYRIADAI’s Acceptable Use Policy, Privacy Policy or Terms of Service or other Company policy
- The request is submitted after the 5-day window post-delivery.
7. Policy on Subscription Downgrades & Upgrades
- Upgrades to higher-tier plans can be processed at any time, billed pro-rata.
- Downgrades can be requested at the end of the billing cycle only, and will not retroactively adjust charges or trigger exchanges or refunds.
8. Legal Disclaimer
This policy forms part of the contract between the Client and MYRIADAI. In case of conflict between this document and the MSA/SoW, the terms of the MSA/SoW shall prevail.
MYRIADAI reserves the right to modify this policy at any time. Continued use of services after such updates constitutes acceptance.
